By creating an account with Cactus and using our Services, you acknowledge and agree to the following.

1. Not Financial, Investment, Tax, Legal, or Accounting Advice

The analyses, underwriting summaries, deal scores, recommendations (including “proceed,” “conditional,” and “pass” type outputs), letters of intent, extracted fields, spreadsheets, charts, maps, and other outputs produced by the Services (collectively, “Output”) are provided for informational and analytical purposes only. They do not constitute financial, investment, tax, legal, accounting, appraisal, brokerage, or other professional advice, and they are not an offer, solicitation, or recommendation to buy, sell, finance, lease, or hold any property or security.

You are solely responsible for your investment and business decisions. Before relying on any Output, you should conduct independent due diligence and consult qualified professionals, including licensed real-estate, tax, legal, and financial advisors.

2. AI-Generated Content and Its Limitations

The Services use large language models and other machine-learning systems provided by third parties. AI systems can produce Output that is inaccurate, incomplete, outdated, biased, or inconsistent (sometimes called “hallucinations”). Output may misinterpret documents, miscalculate values, fabricate citations or facts, or omit material information. Two runs of the same analysis may produce different results.

You should treat Output as a starting point for human review, not as a conclusion. You are responsible for independently verifying any Output before relying on it.

3. Document Extraction Accuracy

When you upload documents (such as offering memoranda, rent rolls, operating statements, or appraisals), the Services use third-party parsing and AI tools to extract structured data. Extraction may miss, miscategorize, or misread fields, particularly in scanned or handwritten documents. You should verify extracted figures against the source document before using them.

4. Property and Market Data

The Services may display property, location, demographic, comparable, or market data obtained from third-party providers. Cactus does not independently verify this data and does not warrant its accuracy, completeness, timeliness, or fitness for any particular purpose.

5. No Fiduciary Relationship

Use of the Services does not create any fiduciary, advisory, broker-client, attorney-client, or similar relationship between you and Cactus. Cactus is a software provider, not your advisor, broker, appraiser, or fiduciary.

6. Forward-Looking Statements

Pro formas, projections, IRRs, return multiples, exit values, and other forward-looking figures generated by the Services are estimates based on assumptions that may prove incorrect. Actual results may differ materially. Past performance is not indicative of future results.

7. No Warranty

The Services and all Output are provided “as is” and “as available” without warranties of any kind. Cactus disclaims all liability for actions taken or not taken based on the Services or Output, to the maximum extent permitted by law. See our Terms of Service for the full limitation of liability.
